Background: Relationship built with quality HNW focussed IFA firm in 2013 seeking growth via selected acquisitions. City and Capital director acted as broker on 3 acquisitions between 2013 and 2018.
Scenario: Firm became the vendor in 2019 seeking sale of shares. Brief – to be acquired as a going concern with retention of the resource and operation.
AUM: £400m
Acquirer: International PE backed firm seeking UK foothold
Sale Price: £10m+
Deal Structure: 50% day 1, 25% month 13, 25% month 25 with upside if business performance exceeds contractual figure.
Vendor Firm – Yorkshire IFA
Background: External shareholders seeking the sale of their 50% shareholding
Scenario: For the owner, adviser to continue as a shareholder, and for an acquirer to acquire the shares of the external shareholders, with an option to purchase the remining shares in 4 years.
AUM: £80m
Acquirer: Yorkshire IFA firm with a strong regional presence
Sale Price: £750,000
Deal Structure: acquirer purchased 60% of the shares in total, with the current owner/adviser retaining 40%. Proceeds paid as 50% upon completion, 25% m13, 25% m25. The same structure is in place to purchase the remaining shares in 4 years, when the current adviser is wanting to retire and exit the industry.
Vendor Firm – Midlands based IFA
Background: Relationship built with IFA firm in 2019 seeking exit strategy.
Scenario: To sell the shares of the business to a quality regional IFA firm, allowing the vendor to retire from industry after the deferred consideration period.
AUM: £41m
Acquirer: Midlands based IFA firm with a strong regional presence
Sale Price: £750,000
Deal Structure: 50% day 1, 25% month 13, 25% month 25 and a market leading employment contract.
Acquirer – International PE Backed
Background: City and Capital approached in 2018 to carry out consultancy for International Firm seeking foothold and significant growth within the UK.
Scenario: London office built and key resources recruited to build the spine of the business. Acquisition and investment proposition created. Robust systems and processes created. Potential acquisition introductions made once proposition deemed robust.
2 Vendors Acquired to Date via C&C: 1. South Eastern firm acquired as a ‘going concern’. 2. London firm acquired as a ‘going concern.
